FIN 4140 Venture Capital Financing

This course examines venture finance through the lens of entrepreneurial strategy. It is designed to illustrate the economic challenges entrepreneurs face in financing and growing a new venture. Topics in the course include: Startup Funding Strategies, the Venture Capital Business Model, Valuation Techniques, Conducting Due Diligence, Term Sheets, Venture Law and Negotiations, Returns on Investment, and others. The class will culminate with an internal competition in preparation for Elon’s team in the global Venture Capital Investment Competition (VCIC).

1. Students will apply comparables, cap table models, and techniques for valuing startup firms to evaluate venture funding needs and returns.
2. Students will develop and justify key venture agreements, including term sheets, board structures and negotiations, while appraising implications for stakeholders.
